Terms & Conditions

These Terms & Conditions govern the commercial content production services provided by Subnet Studio (“we”, “us”, or “our”) to our clients (“you”). They apply to all quotations, engagements, and work carried out by the studio unless we agree otherwise in writing.
By engaging Subnet Studio, you accept these terms. We recommend you read them carefully; where a signed proposal or statement of work exists, it should be read together with this document.
Scope of services
Subnet Studio provides commercial content production, including product photography, lifestyle imagery, and campaign content produced through our proprietary commercial production workflows and traditional production pipelines.
The specific services, deliverables, formats, and timelines for each engagement are defined in the relevant quotation or proposal. Work outside that defined scope is subject to a separate estimate and agreement.
Quotations
Quotations are based on the information and reference material available to us at the time of estimating. They are valid for thirty (30) days unless stated otherwise.
If a brief changes materially — in volume, complexity, or specification — we will provide a revised quotation before proceeding. No additional work outside an approved quotation will be invoiced without your agreement.
Intellectual property
Upon full payment of all applicable fees, ownership of the final approved deliverables produced specifically for you transfers to you, together with the rights required to use them for your intended commercial purposes.
We retain ownership of our underlying tools, pipelines, methods, presets, and any working files or intermediate assets. Unless you request otherwise in writing, we may feature completed work in our portfolio and marketing.
Client responsibilities
To help us deliver excellent work efficiently, you agree to:
- Provide accurate briefs, product information, and reference material in good time.
- Confirm that you hold the necessary rights to any material you supply to us.
- Provide timely feedback and approvals at the agreed stages.
- Ensure that final use of the deliverables complies with applicable advertising and consumer-protection laws.
Delays in providing material, feedback, or approvals may affect agreed timelines, for which we cannot be held responsible.
Revisions
Each engagement includes a defined number of revision rounds, as set out in the relevant quotation. Revisions are intended to refine the agreed direction, not to introduce a new brief.
Additional revisions, or changes that fall outside the original scope, will be estimated and agreed before we proceed.
Payment terms
Unless agreed otherwise, a deposit may be required before work begins, with the balance payable on completion and before final files are released.
Invoices are payable within the period stated on the invoice. Prices are exclusive of VAT and any applicable taxes unless stated otherwise. We reserve the right to suspend work on overdue accounts.
Limitation of liability
We take great care in our work. However, to the fullest extent permitted by law, our total liability arising from any engagement is limited to the fees paid by you for that engagement.
We are not liable for indirect, incidental, or consequential losses, including loss of profit, revenue, or opportunity. Nothing in these terms excludes liability that cannot lawfully be excluded.
Governing law
These Terms & Conditions are governed by the laws of the Republic of South Africa, and any dispute will be subject to the jurisdiction of the South African courts.
